These Terms and Conditions (“Terms”) govern your access to and use of the website located at bstti.com, operated by Blackstone Solutions & Technologies, LLC ("BST," "we," "us," or "our"), including all purchases of products (“Products”) and submission of purchase orders (“POs”).

By accessing the Website, placing an order, or submitting a PO, you agree to be bound by these Terms, which form a legally binding agreement. If you do not agree, do not use the Website or place any orders.

We reserve the right to update these Terms at any time. Continued use of the Website constitutes acceptance of the updated Terms.

1. Purchases and Orders

a. Standard Purchases

Products may be purchased directly through the Website. All orders are subject to availability and acceptance. We reserve the right to refuse or cancel any order at our discretion.

b. Purchase Order (PO) Submittals

Business customers may submit POs via the user portal at bstti.com. POs are not binding until explicitly accepted in writing by BST. Upon acceptance, the PO becomes a binding contract governed by these Terms.

c. Supremacy of These Terms

These Terms supersede and prevail over any conflicting or additional terms in your PO or related documents unless expressly accepted in writing by an authorized BST representative.

All purchases are subject to applicable taxes, shipping fees, and duties unless otherwise stated.

2. Payment

Standard purchases require full payment at checkout. Accepted POs follow the payment terms specified in the PO confirmation. Late payments may accrue interest at the maximum rate permitted by Texas law.

3. Shipping and Delivery

We ship using carriers such as UPS, FedEx, or USPS. Delivery times are estimates only. Risk of loss and title transfer depend on whether BST or the customer arranges shipping, as detailed in the PO confirmation.

Tracking information will be provided once an order ships. You are responsible for ensuring accurate shipping details.

4. Cancellations, Returns, and Refunds

Standard purchases may be canceled prior to shipment. Custom PO orders are subject to strict cancellation limits and liquidated damages as outlined in the Terms.

Returns require prior approval and a Return Merchandise Authorization (RMA). Custom Products are non-returnable unless a verified manufacturing defect exists.

Approved refunds are issued within 14 business days and exclude shipping and restocking fees unless required by law.

5. Warranties and Disclaimers

Standard Products carry a one-year limited warranty. Custom Products are warranted for manufacturing defects only for thirty (30) days from delivery.

EXCEPT AS EXPRESSLY STATED, ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED TO THE EXTENT PERMITTED BY LAW.

6. Limitation of Liability

BST shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the amount paid for the Products.

7. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved exclusively in courts located in Harris County, Texas.

8. Binding Agreement

By placing an order or submitting a PO, you affirm you have the legal capacity to enter into this binding agreement under Texas and federal law.

9. Miscellaneous

These Terms constitute the entire agreement. If any provision is held invalid, the remaining provisions remain enforceable.
